Acquisition of IsoTherapeutics
▪ On 27 February, Telix Pharmaceuticals announced the acquisition of IsoTherapeutics, a US-based CDMO specializing in
radiopharmaceutical development. While assessing IsoTherapeutics' business scale is challenging, its size seems relatively
modest based on the acquisition terms:
- An upfront payment of USD8m, consisting of USD2m in cash and USD6m in ordinary shares, equivalent to roughly
823,481 shares.
- Performance-related milestone payments of USD5m, payable in cash upon meeting certain conditions within twelve
months post-acquisition.
- A two-year revenue share agreement based on the actual revenue generated from IsoTherapeutics' existing customers,
with total estimated cash payments of c. USD0.6m.
▪ However, this acquisition will allow Telix to have a US production site to pursue its development in the US.
▪ Overall, while the acquisition grants Telix a manufacturing base in the US, we believe this acquisition is unlikely to impact
revenues from the ongoing supply agreement between Eckert & Ziegler and Telix (Eckert being one of Telix's Lu-177 suppliers).
Second acquisition of ARTMS
▪
This acquisition, announced on 5 March, came just a week after Telix's previous acquisition, marking the company's rapid
expansion. This time, Telix has taken over ARTMS Inc., which boasts an advanced cyclotron-based isotope production platform.
▪
This move grants Telix access to ARTMS’s QUANTM Irradiation System, enabling the high-efficiency and cost-effective
production of medical isotopes such as zirconium-89, gallium-68, technetium-99m, and copper-64. It's noteworthy that Telix is
already commercializing Illuccix, a Ga-68-based drug, with EZAG as its supplier.
▪
Furthermore, the acquisition is set to bolster Telix's supply chain and manufacturing capabilities, facilitate large-scale
production of medical isotopes, and enhance supply chain reliability. ARTMS is developing next-generation cyclotron targets
for therapeutic radionuclides, including the alpha emitters AC-225 and AT-211.
▪
Financial aspects of the deal include an upfront payment of USD42.5m in Telix shares, USD15.0m in cash, and up to USD24.5m
in future contingent payments, plus additional sales-based earn-outs.
▪ Overall, we believe that this acquisition could prove itself more of a threat to EZAG, suggesting that Telix may prioritise its
internal sources of Ga-68 in the future, potentially affecting EZAG’s Ga-68 revenues. However, we still believe that EZAG Ga-68
generator remains a better tool thanks to its design that allows easier daily application. Additionally, it signals the emergence
of another significant contender in the AC-225 market

EZAG stellt generatorbasiertes Gallium her.

▪ In the past two weeks, the Australia-based radioisotope developer has announced two acquisitions: IsoTherapeutics and ARTMS, for approximately USD100m.
▪ With this move, the biotech company is attempting to ramp up its production capabilities in the US, in what appears to be an effort towards internal integration of its supply chain.
▪ While Eckert is one of the Lu-177 suppliers for Telix's pipeline, we previously mentioned that we do not see this move as a significant threat to EZAG's revenues in the short term (today’s acquisition could potentially threaten some of the Ga-68 revenues for EZAG). However, the Telix case remains an interesting story to follow in order to assess the long-term implications of vertical integration in the sector, which could indicate a strategic shift among some drug development companies in the radiopharmaceutical field.
