Pembina Pipeline to buy Enbridge's interests in Alliance and Aux Sable for C$3.1B

Pembina Pipeline (NYSE:PBA) will buy Enbridge’s (NYSE:ENB) interests in the Alliance, Aux Sable and NRGreen joint ventures for C$3.1 billion, the companies said Wednesday.

The purchase also includes about C$327 million of Enbridge's assumed debt in the Alliance joint venture.
The deal will be funded through proceeds from a C$1.1 billion bought deal offering of subscription receipts, amounts drawn under Pembina’s existing credit facilities, and cash on hand.

"Given its existing ownership interests in the assets, current commercial management of Alliance and operatorship of Aux Sable, and established customer relationships, Pembina is uniquely positioned to execute this transaction with minimal integration risk," Pembina said in a statement.
The purchase is expected to deliver Pembina about C$225 million to C$250 million of "incremental low risk, predominantly fee-based" cash flow from operating activities.

Upon closing, Pembina will hold 100% of the equity interests in Alliance, Aux Sable’s Canadian operations and NRGreen and approximately 85.4% of Aux Sable’s U.S. operations, and Pembina will become the operator of all of the Alliance, Aux Sable and NRGreen businesses.

The purchase will be immediately accretive to Pembina's adjusted cash flow per share, with mid-single digit accretion expected to be achieved in the first full year of ownership, inclusive of synergies.

The transaction is expected to close in the first half of 2024.

hat jemand von euch schon die divi bekommen?
zahlung sollte 31.03.23 sein aber bei onvista ist noch nix drauf obwohl die eigentlich immer sehr pünktlich sind.

Die letzte Div.-Zahlung war bei mir zum 30.12.2022 und Januar, Februar ist bei mir auch nichts eingegangen, habe Anfrage beim Broker gestellt. Aber scheint jetzt quartalsweise zu sein, wie bei den allermeisten auch.
Schade, die monatliche Zahlung war was Besonderes und Highlight, aber ist wahrscheinlich auch mit zusätzlichen Kosten für das Unternehmen verbunden.

ich habe nochmal geschaut und wohl was gefunden. Scheinbar zahlt Pembina die Dividende nun vierteljährlich :

"Common Share Dividends
Pembina pays cash dividends on its common shares in Canadian dollars on a quarterly basis, on the last business day of March, June, September, and December to shareholders of record on the 15th day of the corresponding month, as and when determined by the Board of Directors. Should the record date fall on a weekend or a statutory holiday, the effective record date will be the next succeeding business day."

weiß jemand, ob Pembina den Rhythmus für die Dividendenzahlung geändert hat. Im Netz finde ich nichts. Normalerweise ist die Dividende immer am 15./16. gezahlt worden.

Pembina Pipeline Corporation Announces Redemption of Series 23 Preferred Shares

CALGARY, AB, Oct. 14, 2022 /CNW/ - Pembina Pipeline Corporation ("Pembina" or the "Company") (TSX: PPL) (NYSE: PBA) announced today its intention to redeem its issued and outstanding Cumulative Redeemable Minimum Rate Reset Class A Preferred Shares, Series 23 ("Series 23 Shares") (TSX: PPL.PF.C) on November 15, 2022 (the "Redemption Date").

Pembina intends to redeem all of its 12,000,000 issued and outstanding Series 23 Shares, in accordance with the terms of the Series 23 Shares, as set out in the Company's articles of amendment dated December 16, 2019, on the Redemption Date for a redemption price equal to $25.00 per Series 23 Share (the "Redemption Price"), less any tax required to be deducted or withheld by the Company. The total redemption price to Pembina will be $300 million.

As previously announced, the dividend payable on November 15, 2022, to holders of the Series 23 Shares of record on October 31, 2022, will be $0.328125 per Series 23 Share. This will be the final quarterly dividend on the Series 23 Shares. Upon payment of the November 15, 2022, dividend, there will be no accrued and unpaid dividends on the Series 23 Shares as at the Redemption Date.

The Company has provided notice today of the Redemption Price and the Redemption Date to the sole registered holder of the Series 23 Shares in accordance with the terms of the Series 23 Shares, as set out in the Company's articles of amendment dated December 16, 2019. For non-registered holders of Series 23 Shares, no further action is required however, they should contact their broker or other intermediary with any questions regarding the redemption process for the Series 23 Shares in which they hold a beneficial interest.
