ENDOR AG Enters Exclusive Talks with Strategic Investor CORSAIR

• Endor AG has entered into exclusive negotiations with US-based company CORSAIR for the restructuring of the company.
• This move is expected to significantly reduce the company's debt and provide a positive outlook for the future.
• Endor AG is to be restructured outside of insolvency proceedings in accordance with the German Act on the Stabilization and Restructuring Framework for Companies (StaRUG).
• A binding agreement is expected to be signed by the end of May and will be submitted to the restructuring court in Munich.
• As part of the restructuring, CORSAIR will become the parent company of Endor and provide sufficient financial resources to stabilize the company without any external debt.
• Endor currently holds approximately EUR 70 million of external bank debt.
