Ich denke, es hat mit den Zahlen von Marchfirst zu tun, und der Angst davor, daß es bei Adera ähnlich schlecht aussehen könnte.

Ich glaube aber nicht, daß es so schlecht wird für Adera, berücksichtigt man die Marktkapitalisierung von ca. 25 Mio. Euro und die entsprechenden Cashreserven, dann ist Adera auf dem Niveau ein absolutes Schnäppchen!
Naja, nach den Zahlen wird die Nervosität aus dem Titel etwas rausgehen. Der Kurs wird sich wohl so oder so wieder auf das Niveau von 1,60 Euro berappeln.

Adera - schwaches Quartal

Die schwedische Internetagentur Adera [ Kurs/Chart ] warnt am Dienstag vor einem schwachen vierten Quartal. Das Ziel, in den letzten drei Monaten des Geschäftsjahres 2000 profitabel zu arbeiten, sei nicht erreicht worden. Schuld sei das schwierige Marktumfeld und die Verschiebung einiger Projekte.

Die Schweden werden deshalb am 22. Februar einen Verlust von voraussichtlich 6,6 Millionen Euro für das vierte Quartal und 12 Millionen Euro für das Gesamtjahr melden. Mit den detaillierten Geschäftszahlen will das Unternehmen auch einen Restrukturierungsplan präsentieren.

1. Der Verlust kann noch viel höher werden, da man ausserdem noch Goodwill-abschreibungen mit 250 milj. SEK und Strukturkosten berücksichtigen wird.
2. Die Geschäftsführer in Dänemark und Kopenhagen, Herren Eggs und Grull, haben Adera verlassen.
So etwas beunruhigt auch.

The Annual General Meeting discharged the members of the Board of Directors
and the President from liability for operations during fiscal year 2000.
The following members of the Board of Directors were re-elected:Leif Nobel,
Ingemar Claesson,Rolf Jansson,Rolf Skoglund and Jean-Michel Deligny.Jan
Lundström and Kjell-Åke Persson were elected as new Board members.
Kjell-Åke Persson,born 1940,President of Förenade Liv 1988-2000,is a
member of the Boards of Förenade Liv Gruppförsäkring AB and other
companies.
Jan Lundström,born 1959,a partner in Denali Investment Management LLC,is a
member of the Boards of Emtunga Pharmodul AB,Appetite AB and other
companies.

Operations outside the Nordic countries
Expansion in Europe has been concentrated in areas where there is high penetration of broadband,Internet,
cable TV and mobile telephony.The areas that stand out as the most attractive in this respect are --in
addition to the Nordic region --the Benelux countries and Great Britain.There is a great potential for
profitable development of e-commerce in these areas.
Accordingly,important acquisitions were made in England and The Netherlands during 2000.In line with
the focus on these geographic areas,Adera`s operations in the United States were closed during the year.

The Netherlands
The leading e-business player in The Netherlands,Amsterdam-based HCM,was acquired at the beginning
of the year.After a highly favorable and stable development through to autumn 2000,the picture changed
considerable toward the end of the year.Management and administrative problems resulted in the
operations losing customer focus and the favorable earnings changed to a major deficit.A first action to
reduce costs was implemented at the end of the year when some 15 employees were made redundant.The
Amsterdam office was also included in the action plan decided by the Board in February 2001.After a
personnel reduction of about 20 persons,the office has some 50 employees.The focus is on market
communications,web-TV and web development.Customers include Heineken and KPN (leading telecom
operator in The Netherlands).
The market is considered interesting for Adera since the country,among other areas,is well advanced in
the development and use of web-TV.In addition,many international corporations have their headquarters
in Amsterdam.The connection to Adera’s London office represents an additional potential since many
large companies share their headquarters between London and Amsterdam.

Germany
The operations in Germany have not developed as anticipated.This is due,in part,to the fact that the
German market is highly fragmented,with strong demands for local connections.At the same time,the
costs of acquiring existing companies are high.During the second half of the year the sales program in the
Munich office was intensified and costs were reduced drastically,but it was still not possible to achieve
acceptable results.Accordingly,the Board decided,as a part of the restructuring program,to close the
Munich office during the month of March.Present work for clients is being taken over by other Adera
offices.

Great Britain:Adera +Nucleus
The British market for e-business consulting firms is large and multifaceted.A substantial number of
international companies have London as their base for operations in Europe.
During the first half of 2000 Adera attempted to become established "on its own"in London,to then
develop organically.This proved to be a difficult and uncertain route,however.As a result,efforts were
focused on acquiring an established company.Following studies of more than 20 companies --including
introductory discussions with about ten --the Nucleus company was acquired in October 2000.Nucleus
was in many respects a "minicopy"of Adera in Sweden,which offered assurance that integration would be
relatively simple and painless.

During the second half of 2000,when the collapse of the dot.com sector was a fact,the English market also
changed.The great interest in e-commerce was transformed into a calmer phase.Many spectacular e-commerce
projects were deferred,reduced in size or abandoned completely.Instead,the focus shifted to
more balanced and more cost-effective solutions.Customers have become more knowledgeable and are
valuing quality and businesslike relationships.This is a trend for which Nucleus is well suited.
During the year Nucleus has grown from just under 30 employees to more than 40,and additional
recruiting is planned.As a result of the partnership with Broadvision,opportunities are being created for
attractive developments in the broadband sector.Similarly,Nucleus`cooperation with McKinsey and its
more than 500 consultants constitutes an important channel to the market.

Belgium
Since establishment in 1997,the operations in Belgium have focused in organically building a local brand.
Selective recruiting and successful marketing is now beginning to yield effect,Adera’s office in Antwerp is
now considered one of the leading agencies in Flemish Belgium.A number of important contracts were
obtained during the autumn from such high-profile clients as Atlas Copco and the Woestijnvis media
company.

Habe 17.000 Stück und bin ab 2,4Euro im plus.
Könnte so nochmals schön diesen Schnittpunkt nach unten drücken.
Nur eben die große Frage: Schafft Adera den Sprung in der jetzigen Konstellation und den neuen Maßnahmen.

Man hat einfach zuwenig Einblick in die Tagesarbeit und die Auslastung von Adera.
Und verschweigen tun die Leute ja ganz schön die echten Probleme, sonst wäre das mit München doch schon längst bekannt geworden.
Es geht bei diesem Aktienkauf doch um eine Zukunftsanlage mit der Erwartung daß diese Leute den Aufbau tatsächlich schaffen

eBusiness consulting firm Nucleus has been retained by Orient-Express Hotels to formulate and
implement the group`s core internet strategy.Nucleus is in the process of designing and
building transactional sites for Orient-Express using BroadVision eCommerce applications and
the Tridion DialogServer content management system.
Orient-Express Hotels owns and operates 26 luxury hotels,6 trains,2 restaurants and a river
cruiser across the world.Famous brands include the Cipriani in Venice,the Mount Nelson in
Cape Town,the legendary Venice Simplon-Orient-Express and an adventurous river cruise in
Myanmar called the Road to Mandalay.
Orient-Express began looking at ways of taking its internet strategy to a new level in mid-2000
with the appointment of Brian Tickle as Director of eCommerce.Brian’s brief was to bring the

Kann hier ein "Profi" mal den Quartalsbericht nach seiner persönlichen Meinung bewerten.

Nach meiner Einschätzung haben die sehr Streß um die Firma auf die richtige profitable Schiene zu bekommen.
Aber gut so, wenn das Wasser bis zum Halse steht, muß richtig gearbeitet werden.

Kosten sparen und ein profitables Tagesgeschäft ist angesagt.
"Zukunftsprojekte" müßen mit absoluter Kostenüberwachung angegangen werden und dürfen kein zu großes finanzielles Risiko beinhalten.
Erst muß richtig Geld verdient werden mit den vorhandenen Möglichkeiten.

während gerade Framtidsfabriken noch mal zerrissen wurden.

Zahlen bei Adera waren nicht soo schlecht.

Tip, mit Stop knapp unter alten Tief absichern,
dann ist man bei evtl. erneuter Halbierung schnell raus..

Gerade Razf gibt in letzter Zeit Grund zu Hoffnung.
Leider steigen die europäischen Werte nicht so schnell
wie an der Nasdaq...

Charttechnisch besteht darin eine Chance auf ein Doppel-Tief,
geht es unter 3,60- 3,80 SEK dann gute Nacht.




Bis jetzt ging es jedesmal an signifikanten Stellen nach unten,
das schon seit über einem Jahr!

Habe Gefallen an Adera gefunden und bin heute rein - nachdem Framfab wieder Kapital zur Verfügung gestellt bekommen hat, und Adera selbst sogar noch über vorerst ausreichend Cash verfügt, glaube ich, daß die Aktie in der Branche unterbewertet ist. Adera hat einen eiskalten Sanierer und wird auch profitabel werden - so meine Meinung.

Hätten die Leute mit unseren Geldern verantwortlich von Anfang an gespaart und nicht wie Neureiche damit umgegangen, wäre heute das finanzielle Polster für jede Durststrecke ausreichend gewesen.

Handling Cofacerating`s strategic communication via the Internet

Adera has won a vote of confidence in the form of a new contract from the credit rating company, Cofacerating Sverige AB. Adera had already designed Cofacerating`s strategic communication with respect to message, general advertising and special advertising for the @rating service. When Cofacerating needed help with its web site, it had no hesitation in turning to Adera.

"Adera did an excellent job on our strategic communication. They formulated the message and broke it down into pictures and text which clearly and effectively showed who we are and what our values are," says Mikael Pettersson of Cofacerating.

Cofacerating chose Adera because it showed the greatest understanding of the company`s operation, and was able to provide strategic assistance.

Adera and the international insurance broker Euroben have signed an agreement that states that Adera will take part in developing Euroben’s new web site. The new site will be launched in August 2001.

Euroben is a co-owned subsidiary to the Swedish insurance company SPP and its Norwegian counterpart Storebrand. Euroben targets employees in multinational companies with head offices in Sweden and Norway.

- Our web site will be one of the most important channels when communicating with customers and potential customers. It is important for us with a partner that can supply us with more than a shallow interface. Care to revise and expand the charity`s website, www.suerydercare.org
and to create an extranet to facilitate communication between

Sue Ryder Care works to support people with disabilities and life

Adera to streamline and focus its operations
Adera is streamlining and concentrating its operators to three business areas:IT
Driven Business and Operational Development,Integrated Communication and
the e-business operations Adera Nucleus in London.
Geographically,the operations are being concentrated to Sweden and the UK,
which means that the offices in Antwerp and Amsterdam will be sold or phased out
at a suitable time.Parts of the Swedish operations will also be affected.Once the
measures are complete,the number of employees within the group will total
around 280 in Sweden and the UK,which is a reduction of around 180 positions,
80 of which are in Sweden.
The purpose of the reorganisation is to provide the different areas with what they
need to grow on their own terms by focusing on their core operations.The business
areas will be run in company form,which means that they will each have their own
MD and board of directors.
Three business areas
The IT Driven Business and Operational Development business area will have
around 130 employees working with strategic advisory services,value-enhancing
processes,change management,advanced systems development,systems
integration and web development.The MD of the business area will be Harald
Abelin,former MD of OOPix within the Adera group.Previously he has worked at
Ericsson and Enator.The business area includes the former Astrakan,the former
OOPix as well as Astrakan Strategic Training,focusing on advanced training within
IT and management.
The Integrated Communication business area will operate under the
Adera+Blanking brand.The operations will focus on strategic marketing and brand
issues for both industrial (B2B)and consumer goods companies (B2C).Digital
media constitutes an interesting,expanding part of the operations.The MD will be
Rolf Jansson,who will also retain the role of CEO.The business area will have a

SEK 35 million structural programme
It is calculated that the measures currently under implementation cost around SEK
35 million,an amount that will be charged to the Q2 2001 financial result.
It is calculated that annual savings of around SEK 50 million will be achieved after
the measures have been implemented.

“Adera has experienced problems because few customers today are organised in

Adera to sell part of its Amsterdam operations

As part of the process of adjusting to changed market conditions, Adera has concluded an agreement to sell part of its operations in Amsterdam to a newly started company. The people behind the company include the previous owners of HCM B.V., the Amsterdam company acquired by Adera in the spring of 2000. Adera will have a 10 percent holding in the newly formed company.

The deal entails the transfer by Adera of a business employing some 20 people with estimated net sales of NLG 5 million (around SEK 20 million). The purchase price is approximately NLG 5 million (around SEK 20 million), NLG 4 million of which will be paid in cash, while the remainder will be paid during 2001/2002. The positive impact on the profit/proceeds will be used for additional structural measures in Holland.

In connection with this deal, Adera has come to a settlement involving the reversion to Adera of 700,000 of the approximate total of 1.3 million class B shares issued by Adera as part of the purchase price for the acquisition of HCM B.V.

The background to the settlement is that Adera has in the last few weeks been involved in negotiations with the company’s previous owners about a reduction in the purchase price. The parties have now reached a settlement that involves the withdrawal of 700,000 class B shares without repayment and a reduction in Adera’s share capital amounting to the nominal value of the shares, i.e. SEK 70,000.

As a result of the deal, Adera will be calling an extraordinary shareholders’ meeting at which a proposal will be made that the shareholders should approve the transfer of the business in Holland and pass a resolution concerning a reduction in the share capital with respect to the 700,000 Adera class B shares. Notice of the extraordinary shareholders’ meeting specifying time and place will be published as soon as possible.

die von Adera als Teil des Kaufpreises für die Datenerfassung von HCM
B.v herausgegeben werden.

Der Hintergrund zur Regelung ist, daß Adera in den letzten Wochen in
Vermittlungen in die vorhergehenden Inhaber der Firma über eine
Verringerung des Kaufpreises miteinbezogen worden ist. Die
Beteiligten haben jetzt eine Regelung, die die Zurücknahme von
700.000 Anteilen der Kategorie B ohne Rückzahlung und eine
Verringerung des Aktienkapitals Aderas miteinbezieht, das den Nennwert
der Anteile beträgt, d.h. SEK 70.000 erreicht.

Resultierend aus dem Abkommen ein:be*ruf Adera eine Konferenz der
außerordentlichen Aktionäre, an der ein Antrag gebildet wird, daß
die Aktionäre die Übertragung das Geschäft in Holland genehmigen
und eine Zerlegung hinsichtlich ist einer Verringerung des
Aktienkapitals in Bezug auf die 700.000 Anteile der Kategorie B Adera
führen sollten. Begriff der außerordentlichen Sitzung der
Aktionäre, die Zeit und Platz spezifiziert, wird so bald wie möglich
veröffentlicht.

Warum schließen die denn vornehmlich die ausländischen Büros?
Diese Büros sind doch kleiner wie in Schweden und müßten doch leichter Profite bringen.
Ist die Preissituation dort schlechter als in Schweden?
Oder ist es tatsächlich nur die Tatsache, daß Adera alles konzentriert im eigenen Hause haben möchte, weil dies wirtschaftlicher ist. Das ist übrigens meine Auffassung.

Es war ja schon ein Wahnsinn mit all diesen Büros.
Wenn ich da alteingesessene Industriefirmen betrachte, tun die sich schon oft schwer mit einer einzigen Tochterfirma und hier wollte man die "alte Welt" im Schnellverfahren erobern ohne vorher schon im Plus zu liegen.

Der zweite Absatz betreff profitabel in bewährten Geschäfts-Bereichen kann ich verstehen und hoffen, daß hier nicht auch durch Preiskampf sich das Blatt wendet.

Zum ersten Absatz -Resteuropa- fehlt mir der Durchblick.
Kannst Du Deine Fakten durch Beispiele auch begründen?
Ich habe noch sehr viel Geld in Adera investiert. Auf der einen Seite sehe ich wie konsequent die Umstrukturierung durchgesetzt wird, auf der anderen Seite bekommt man bei diesen Kursen schon etwas Angst.
Mir fehlt einfach der Durchblick und die Infos wie die Branche und speziell Adera sich entwickeln kann.

Was ich auch nicht begreifen kann, daß doch viele Aktienbesitzer kein Durchhaltevermögen zeigen und selbst für den Kursverfall eigentlich auch mit verantwortlich sind.
Wenn man in eine neue Firma investiert muß man doch Zeit mitbringen. Es ist absolut normal das eine Firmenentwicklung mit vielen Tiefen verbunden sein muß bis der richtige Weg gefunden wurde.

resteuropa deshalb hinterher weil hier sowohl die Konjunktur erst im begriff ist sich abzuschwächen- zum anderen einfach techn. und von Kundenseite immer einen gewissen Zeitraum hinterher hinkt / blick auf USAund Skandinavien (beide etwa deckungsgleich in der Hinsicht) dann weisst du es - im grunde alles sehr einfach

die probleme, die die amerik. und skand. Wettbewerber schon hinter sich, d.h. die Lage dort konsollidiert sich kommt eben erst auf die resteurop. Wettbewerber zu : dabei darf man nicht vergessen, dass z. B. in Deutschland immer nur auf die börsennotierten Unternehmen geblickt wird. Diese zusammen aber haben nicht viel mehr als 10% Marktanteil

Proposal from the Board

The company has issued shares as consideration in connection with its acquisitions of Nucleus Limited, England, and Braendpunkt A/S, Denmark. Pursuant to the respective purchase agreements and subsequent supplemental agreements, part of the issued shares would be withdrawn without repayment if certain profitability conditions were not fulfilled during year 2000. Such conditions have not been fulfilled.

In addition, the company has come to a settlement with the former owner of Hollandse Communicatie Maatschap Holding B.V. that 700,000 of the approximate total of 1.3 million shares issued as purchase price will be withdrawn without repayment.

Based on the above, the Board proposes that the share capital of the company will reduced by a total amount of SEK 113,460 to SEK 2,031,221.1 through a withdrawal of 1,134,606 Series B shares without repayment. The reduction amount will be used for immediate coverage of the loss as reported in the approved balance sheet.

Documentation

The proposal of the Board with regard to the reduction of share capital and the documentation in line with section three of paragraph 2, chapter 6 and paragraph 4, chapter 4 of the Swedish Companies Act will be available at the company at least one week prior to the Meeting and will be sent to shareholders who so request and who provide their postal address.

Hallo Adera-Aktionäre,

heißt daß im Klartext, Adera nimmt 700000 Aktien zurück, Wert bei 0,24 Euro ca. 168.000 Euro und dafür ist nun auch das Büro in Amsterdam weg.

Büros werden immer weniger, Bares wird immer weniger, Umsatz wird immer weniger, Verdient wird immer noch nichts ob jemals, daß ist die Frage.

Ich bin froh daß ich mich endlich dazu durchgerungen habe, mich von meinen Adera Aktien trotz hoher Verluste zu trennen, ich werde so einen Schrott nie mehr anfaßen, es gibt Zehntausende von hervorragenden Unternehmen, ich weiß nicht wie ich auf den Gedanken kommen konnte Geld in solche Schrott-Aktien zu investieren und noch dazu so lange zuzusehen wie das Geld täglich weniger wird.

Absulute Geldvernichtungsunternehemen sonst nichts.

Adera’s Extraordinary General Meeting

The Extraordinary General Meeting of Adera AB (publ), held on July 17, 2001, resolved to reduce the share capital of the company by a total amount of SEK 113,460.60 through a withdrawal of 1,134,606 Series B shares without repayment. The reduction amount will be used for immediate coverage of the loss as reported in the approved balance sheet. The reduced shares are held by the former owners of Nucleus Limited, UK, Braendpunkt A/S, Denmark, and HCM Holding B.V., Holland.

After the reduction, the share capital of the company will amount to SEK 2,013,221.10, represented by 20,132,211 shares.

Torbjörn Lindh becomes the working chairman of Adera’s IT-driven Business and En-terprise Development business area.

In June Adera announced its intention of carrying out a restructuring programme with the objective of giving the various areas within Adera the conditions for growing on their own terms by concentrating on their core businesses.

The two business areas operating within Adera today are IT-driven Business and Enter-prise Development, based in Stockholm, and Integrated Communications, based in Gothenburg. These two business areas will be run as companies and hence each has acquired its own board.

Torbjörn Lindh has been appointed working chairman of the business area IT-driven Business and Enterprise Development. Over the last 20 years he has held senior posi-tions at Cap Gemini, Telia and Merkantildata.

For the past year he has been working for his own company Strategi och Ledning (Strategy and Management), which is commissioned to help companies to change, run or develop their businesses in accordance with set goals. This can mean filling various senior management roles or a seat on the board. Immediately before he began working at Strategi och Ledning, Torbjörn Lindh was CEO of Merkantildata in Sweden.

’I see great opportunities for this business’, says Torbjörn Lindh. ’The IT part of Adera has its origins in companies like OOPix and Astrakan and we have many ex-perienced and skilled staff within the business area.’

‘Torbjörn’s great knowledge of the trade and market will be very helpful in the work we have ahead of us’, says Harald Abelin, CEO of the IT-driven Business and En-terprise Development business area. ’Torbjörn has a breadth and knowledge that we will be able to use not only within our business area but also in the development of the Adera Group.’

Torbjörn Lindh was born in 1957. He completed his education in systems science at Linköping University in 1982.

Die Q.-Zahlen entsprachen den Erwartungen - nur HCm Amsterdam ist pleite - dadurch wird es aus dem erwarteten Verkaufserlös von ca 110 TSD Euro nichts. Das ist aber relativ belanglos. Lt. Ausblick will man Ende des Jahres Cashflowpositiv sein.

J. bekannten Geschäftszahlen erwartet, droht Adera Ende Q 3 der Sprit auszugehen - cash-burnout! Interessant bleibt die Frage: wer ist schneller - die Restrukturierung (Konjunkturstabilisierung) oder der Pleitegeier.
Ich fürchte letzteres; aber vielleicht findet sich ja ein Investor ?

As a further part of the restructuring programme Adera announced in June Adera’s IT business is now being divided up into two independent companies – Astrakan and OOPix. The owner of the two companies will be a holding company named Adera IT. Organizationally, Adera IT will operate directly under Adera AB. Adera IT’s president will be Torbjörn Lindh, who also is chairman of the company.

Astrakan and OOPix were acquisitioned by Adera during an earlier phase of the latter’s expansion. The objective was to bring together IT and communications knowledge in a single company. The objective now is to become more clear-cut in respect of a market whose buying behavior has changed greatly and set the focus for the business. The objective continues to be for the companies to collaborate where the customers so desire.

‘To achieve success in this tough market, we must be clear about who we are and what we are doing’, says Torbjörn Lindh, President and Chairman of Adera IT. ‘We have evaluated the brands we have in Adera IT and OOPix and Astrakan has built very much on both when it comes to customer relations and culture’.

The new Astrakan company will focus on IT related business development and education under the management of C-G Lövetoft. The company has offices at Drottninggatan and Gävlegatan in Stockholm, and Maskingatan in Gothenburg. OOPix will be concentrating on in-depth IT and change processes. Finn Sjöberg remains there as CEO.

The Adera subsidiary, Astrakan, has been assigned to conduct a preliminary study for the new website of the SACO trade union organization. Astrakan won the bidding in competition with four other suppliers.

The website of SACO (Swedish Confederation of Professional Associations) represents an important channel for influencing public opinion. Work has therefore begun on creating a new website that better corresponds to visitors’ demands for information and user-friendliness.

Astrakan has been assigned by SACO to conduct a preliminary study for the new website. The results of the preliminary study will form the specification of requirements describing the goals of the new website and the functions it should contain. SACO will then use these specifications in the bidding process for the actual production of the website.

“A preliminary study represents the strategic phase in the development of a new website. Astrakan has shown that it is a supplier with a well-developed methodology for this type of project. It is clear that the people at Astrakan know what they are doing and why it must be done,” says Anna Kopparberg, project manager and responsible for the bidding process at SACO.

The preliminary study is expected to be completed during October.

“This is an agreement that suits Astrakan perfectly. We have won the honor of carrying out the strategic work for SACO. Naturally, we hope that this will also lead to our being given the opportunity to handle the implementation of the project,” says C-G Lövetoft, President of Astrakan.

A few days ago, Duni launched its new website, which is aimed at broadening and strengthening the Duni brand and showing that the company can do more than merely produce table napkins. Adera-owned Astrakan had overall responsibility for the development of the website, which is based on Astrakan’s E-core (MS) platform.

Duni’s website is multinational, meaning that the information it contains is available in several different languages. The aim of the assignment was to create a site that would show the breadth of Duni’s operations.

“We needed assistance in creating a coherent communication channel for the divisions within the Duni Group, and we also wanted to acquire a user-friendly administrative tool,” explains Jens Tångeberg, Director Corporate Communications at Duni. “Astrakan has succeeded in delivering a website that fulfills our objectives.”

Initially, working jointly with Duni, Astrakan carried out a prestudy that served to define the strategic guidelines and visions for the project. Based on the initial preparatory work, Duni decided to construct the site on Astrakan’s E-core platform.

“E-core (MS) is a Microsoft based platform developed by us that consists of a series of components for publishing the contents of websites,” says Patrik Persson, key account manager for Duni at Astrakan. “Based on the E-core (MS) platform, we have built a website for Duni that is both dynamic and simple to use.”

Adera files Belgian subsidiary for bankruptcy

In the light of previous decisions to liquidate its operations in Belgium, the management of Adera has taken the decision to file its Belgian subsidiary, Adera Belgium NV, for bankruptcy.

"The effect of the measures above is calculated for in the structural reserve and will not affect the over all result for Adera", says Nils-Ove Andersson, Vice President and CFO at Adera.

Nucleus` rebranding programme for Laing Homes is one of only two
finalists shortlisted in the corporate identity category of the prestigious
2001 International Design Effectiveness awards. The winner will be
announced at the awards ceremony in October.

Nucleus` relationship with Laing Homes started back in 1997. Laing
Homes was in the process of re-positioning itself towards the quality
end of the market, but a dissonance was apparent between its
`upmarket` products and its existing `middle market` brand. Nucleus`s brief
was to create an identity that would change customer perceptions and
support Laing Homes` transformation into an upper market leader. The

Following a tendering process, Adera-owned Astrakan has secured the contract to build Strängbetong’s intranet.
Strängbetong is one of Sweden’s leading companies within building-construction and civil engineering projects.
Based on Astrakan’s proprietary “e-core ms” platform, the intranet will in this instance consist of a number of function modules with a ready-to-use administrative interface. “E-core ms” comprises a large number of components for the publication of content on websites.

The combination of a number of Astrakan’s intranet modules will give Strängbetong an advanced intranet, destined to become one of the most important tools for enhancing skills within the company’s organization and for improving internal information. The interface is designed to enable Strängbetong’s personnel themselves to fill the intranet with valuable information.

“Since we at Astrakan focus on quality and cost-effectiveness for our customers, we have developed a work method that allows us to proceed rapidly from the initial study to a fully functioning solution,” explains Martin Randler, responsible for business development at Astrakan. “With solutions based on ‘e-core ms,’ we can quickly provide benefits to our customers.”

One of the functions included in the intranet is a link to Strängbetong’s document-handling system, DOCSOpen. The intranet’s web interface is designed to enable users to search for information among files and folders in the same manner they are used to. Other functions ordered by Strängbetong include report generation from another computer environment and questionnaire handling.

“Astrakan has demonstrated the full breadth and depth of their expertise, and we have formed the impression that their development work on intranet functions is extremely soundly based,” comments Magnus Sjölander, project manager at Strängbetong. “Astrakan supplied several favorable references, and the company’s personnel have shown that they have a thorough understanding of our industry and our needs.”

Strängbetong’s intranet is scheduled to be implemented before the end of this year.

In Anbetracht der Tatsache, dass es sich um das Q3 handelt (immer das mit Abstand schwächste des Jahres) und die Restrukt. bis auf die Schliessung von Belgien (10.Okt. 2001) alle wesentlichen Kosten beinhaltet, relativ befriedigend.

Lt. Aussage des CFO (Finanzchef) wird in Q1 mit positivem Cashflow gerrechnet (280 Mitarbeiter jetzt - zum 30.9.= 294 ) . Casburn zur Zeit ca 5 mio SEK (0,5 Mio Euro pro Monat) Liq. am 30.9. über 50 Mio SEK.

Des weiteren behält man sich aber alternativ im Anschluss auf schwarze Zahlen eine Kapitalerhöhung vor.

Belustigend ist der heutige Kursanstieg von I-D Media wegen Loewe Interaktiv ( siehe dazu Adera adhoc vom Sommer über deren Aktivität /läuft seit über einem halbes Jahr schon )

The IT Driven Business and Operational Development business area will have around 130 employees working with strategic advisory services, value-enhancing processes, change management, advanced systems development, systems integration and web development. The MD of the business area will be Harald Abelin, former MD of OOPix within the Adera group. Previously he has worked at Ericsson and Enator. The business area includes the former Astrakan, the former OOPix as well as Astrakan Strategic Training, focusing on advanced training within IT and management.

The Integrated Communication business area will operate under the Adera+Blanking brand. The operations will focus on strategic marketing and brand issues for both industrial (B2B) and consumer goods companies (B2C). Digital media constitutes an interesting, expanding part of the operations. The MD will be Rolf Jansson, who will also retain the role of CEO. The business area will have a total of 95 staff members. Customers include industrial companies that operate internationally as well as brand-intensive consumer goods companies.

The Adera Nucleus London business area constitutes a separate unit under the management of Peter Matthews, the founder.

As part of the on-going restructuring programme Adera has decided to make an additional measure in closing the web office at Drottninggatan in Stockholm. This reduction in staff will affect approximately 20 persons. Together with previously announced measures, this means that approximately 35 persons, both in Stockholm and Gothenburg, will leave the group.

“I still believe that our measures will lead to profitability
and I anticipate great future opportunities for consulting companies with a clear and focused customer offering.
The capacity adjustment we now make is a consequence of the market deteriorating faster than we earlier expected.
Along with this we are continuing our strategic development work, and the market can expect further announcements from Adera,“ says CEO Rolf Jansson.

As part of the ongoing rationalisation of its business activities, Adera has sold its advertising agency in Värnamo, by means of an asset deal, to the previous owner via a newly formed company. The sale, which will result in ten fewer employees in the Group, will have a marginal impact on Adera.

Adera is selling Nucleus Ltd in London, to a newly formed company owned by Nucleus founder Peter Matthews.
Nucleus` operations were developing positively during Spring 2001, but by the end of the second quarter it was affected by the sharp market downturn in the UK and Europe. As a consequence, it implemented a restructuring in July reducing its employees from 36 to 21.
In its third quarter report Adera wrote off the goodwill of Nucleus to a zero value. As a consequence the deal above will affect the result with a positive 2.5 MSEK, while the cash flow effect will be around 8 MSEK positive.
The sale of Nucleus Ltd requires approval from an extraordinary general shareholders meeting. This will be called upon within the coming few days.

Adera: Acquisition of OOPix cancelled

Adera and the former owners of the system development company OOPix have decided to cancel the acquisition. This means that the 777,202 B shares issued in conjunction with the acquisition will be returned to Adera. Concurrently, the account balances between the two companies will be closed.

The decision is conditional upon the approval of a Extra General Meeting. Notification to attend such a Meeting will be made in next few days.

In future, Adera, within business area IT, will focus its resources at Astrakan, an IT and management company with nearly 100 employees in Gothenburg and Stockholm.

Adera’s Extraordinary General Meeting

The Extraordinary General Meeting of Adera AB (publ), held on December 4, 2001, resolved to

(i) approve the sale of all the shares in the English subsidiary Nucleus Limited; and

(ii)reduce the share capital of the company by a total amount of SEK 98,938.30 through a withdrawal of 989 383 Series B shares without repayment.

The shares that have been withdrawn are part of the total approximately 1.5 million newly issued Series B shares that were issued as consideration for Nucleus Limited. Considering a previous decision to withdraw shares, a total of approximately 1.4 million of these shares have been withdrawn.

After the reduction, the share capital of the company will amount to SEK 1,914,282.80, represented by 19,142,828 shares.

Adera sells advertising agency in Stockholm

Adera has decided to sell its advertising agency operations at Holländargatan in Stockholm to e-agency in Copenhagen. A total of 12 persons are affected.

"We have not been able to achieve profitability at Holländargatan, and therefore we sell. With e-agency in Copenhagen as owner a new interesting Nordic player will be created on the market", says Rolf Jansson, President and CEO of Adera.

In conjunction with the sale, Adera has signed a cooperation agreement with e-agency whereby the companies will coordinate the alignment of marketing processes and brand management on a Nordic basis.

In addition to advertising agency operations, Adera continues to conduct activities in the IT-driven Business and Enterprise Development business area. In this area, Astrakan, with operations in Gothenburg and Stockholm, represents the leading edge.

The transaction with e-agency results in a loss of about SEK 2 million and a limited short-term, adverse liquidity effect for Adera.

Ist das Verarschung???Ich dachte Adera würde bald Pleite
gehen und vom Kurszettel verschwinden???

Hallo....Adera Kurs bei 0,08 Cent je Aktie :-))
Was ist aus dieser Firma nur geworden?? Kann mich mal jemand so kurz aufklären? Sind die Pleite, oder nahe der Pleite oder was??? Mein Gott...die hab ich im Depot..gekauft bei ca 100 DM (!) damals...und dann irgendwann mal vergessen.....aber nicht soviel, ungefähr für 3500 DM damals..... super was?? LOL

Es scheint so, als ob der Pleitegeier schneller als die Restrukturierung gewesen ist. Unter Fortschreibung der bekannten cashburn-rate müsste der Sprit eigentlich Ende Q1/02 ausgegangen sein. Ich gehe davon aus, daß Adera den Beginn des 3. Quartals nicht mehr erleben wird.
