Also, tut mir leid.

      Dear Shareholders and Friends,

The story of Siddhartha from about 500 BC describes a Buddha who becomes enlightened after many years following three practices -- prayer, fasting and breath control.

It has been five years since we developed and delivered our wireless digital camera and network video control solution to the market. In fact, we shipped the world`s first WiFi camera system, but we lacked the capitalization necessary to realize the opportunity.

During the technology meltdown, homeland security crisis and lack of investor confidence, many new products from small companies were set back years and countless companies went under. We have managed -- through fasting and breath control -- to keep our team together in spite of many financial and manufacturing obstacles. We also kept our sense of direction (and humor).

Some of you know that we spent a lot of time stuck in the “endless cycle” of seeking finance, turning down financing that would have changed our business focus or changed control of management and the Company`s direction.

As announced in recent press releases, ComCam is back. We finally have the opportunity to move the company to the next color of corporate growth, to black from red. Due in part to a recent financing, I am happy to announce some plans we expect to execute over the next six months to a year.

The parent company -- ComCam, Inc. (OTC:BB:CMCA) has been a reporting company since 2002. It was established from a reverse merger that never was able to raise the required financing to meet production requirements. In January 2005, the Company secured Securities Exchange Commission approval to be restructured as a Business Development Company (BDC) as outlined in the Investment Company Act of 1940 (Form NT-54A). As a BDC, its strategy is to build an investment portfolio consisting of revenue-generating assets and emerging companies positioned for growth via acquisitions or incubation. The BDC also provided a vehicle by which we were able to secure private equity investment from high net worth investors.

The recent investment is in a ComCam subsidiary, ComCam International, Inc., founded in 1999, will be spun off to shareholders and become a reporting company within a few months; we intend to have it listed on public markets sometime in 2006. CMCA shareholders of record will receive a dividend in this new listed entity when the procedure is completed. In effect, CMCA shareholders will be getting ownership in two companies with complementary business foci seeking strong growth and run by a common management team.

As important as the investment itself is who made the investment: it represents a strong vote of confidence in the Company`s technology and management as well as its future prospects. ACC Investors, LLC, was recently formed by G.C. Andersen Partners, LLC, a leading New York merchant bank. ACC Investors consists of at least two of the Andersen partners, including Chris Andersen himself. We are delighted that one of Andersen partners, Paul Higbee, will be part of the ComCam team – he will serve on the parent`s (ComCam, Inc.) Investment Committee as well as the subsidiary`s (ComCam International) Board of Directors once SEC approval is secured. We look forward to adding Andersen’s financial expertise to our team.

ComCam, Inc. (parent company) will focus on growth through incubation and/or acquisition of businesses based on emerging technologies, innovative distribution methods and value-added services. The Company may consider changing its name in the future to reflect its role as a holding or investment management firm, thus being more in keeping with its charter going forward. For a discussion of this incubator activity, see ComCam Incubator.

ComCam International, Inc. (subsidiary company), will focus on growing the Internet Protocol (IP) surveillance and security technology, products and services business. This division is now in a position to ramp up production of its IP cameras and video servers. We are completing agreements with an established contract manufacturer and look forward to having a steady flow of product available this fall.

While we may not have secured the enlightenment of the Buddha, we have learned that a lot of prayer, fasting and breath control can help sustain one during really challenging times. Over the last few years, we have received strong interests from many likely sales channel partners, system integrators, value-added resellers and contractors (government and commercial) throughout the world. In the coming months, we plan to reestablish relations with many of them based on our ability to deliver quality products and services. The year 2005 marks a rebirth for two companies we call ComCam.
