ENDOR AG in Exclusive Talks with Strategic Investor, Plans StaRUG-Compliant Restructuring

• Endor AG has entered into exclusive negotiations with US-based company CORSAIR for a potential restructuring of the company
• The restructuring is intended to significantly reduce the company's debt and provide a positive outlook for the future
• The restructuring will be in accordance with the German Act on the Stabilization and Restructuring Framework for Companies (StaRUG) due to imminent insolvency
• As part of the restructuring, CORSAIR will fully take over Endor AG and provide sufficient financial resources to stabilize the company without any external debt
• The restructuring plan includes a partial waiver by the banks and a complete capital reduction, leading to current shareholders leaving the company without compensation and the delisting of Endor AG shares from the Open Market
• A binding agreement is expected to be signed by the end of May, after the completion of due diligence, and will be filed with the restructuring court in Munich.
